Airbus SE announced that it is committed to a definitive agreement with spirit spirits for the acquisition of industrial assets dedicated to its commercial aircraft programs.
By the agreement, Airbus will take ownership of the following spirit aircraft assets:

Kinston site, North Carolina, US (A350 Fuselage sections)

St. Nazaire's site, France (Fuselage A350 sections)

Casablanca, Morocco site (A321 and A220 components)

Production of A220 pylons in Wichita, Kansas

A220 wings in Belfast, Northern Ireland

The A220 mid-fuse production in Belfast, Northern Ireland, unless Spirit Aerosystems identifies a suitable buyer for the part of the site where these activities are located

Airbus will also acquire the production of wings components for A320 and A350 in Prestwick, Scotland.
Spirit Aerosystems plans to sell a Subang site, Malaysia to a third -party owner.
The compensation amount has been modified to reflect this revised transaction perimeter, in accordance with the provisions of the binding term sheet agreement issued on July 1 2024. Airbus will be compensated by paying $ 439 million by ghost airs, subject to some adjustments in closure.
The conditions and financial impact of this agreement are in line with the modified EBIT and are free cash flow before customers fund preliminary estimates included in the leadership of the Airbus 2025, as published on February 2025.
With this operation, Airbus aims to ensure the stability of the supply for its commercial aircraft programs through a more sustainable way forward, in operation and financial, for key Airbus work packages.
The companies expect to close the transaction and transfer official operations to take place in the third quarter of 2025, subject to other regulatory and routine approvals.
Airbus is also committed to the memorandum of an agreement with Spirit Aerosystems, which Airbus has agreed under, among other things, providing non -interest lines of credit spirit of credit in an aggregate amount of $ 200 million, which will be used by ghost spirit airmen to support Airbus programs.
